The physicians providing medical and surgical services to patients at Surgical Care Affiliates facilities are generally independent contractors and not employees or agents of Surgical Care Affiliates. The medical and surgical services provided to patients at Surgical Care Affiliates facilities are provided under the exclusive control, direction, and supervision of these independent physicians, which include radiologists, pathologists, anesthesiologist, and surgeons. Any statutory or contractual duty owed by Surgical Care Affiliates to provide medical and surgical services has been expressly delegated to these independent physicians, and by delegating these duties, Surgical Care Affiliates has discharged all liability for any acts or omissions of these independent physicians in providing medical and surgical services at Surgical Care Affiliates facilities.

SCA Names Andrew Hayek as New President and CEO
Mike Snow Resigns after Successful Transition
BIRMINGHAM, Alabama (April 21, 2008) – Surgical Care Affiliates (“SCA”) today announced that Andrew P. Hayek has been named president and chief executive officer effective May 1, 2008. SCA’s current president and chief executive officer, Mike Snow, is resigning his position effective April 30, 2008, but will continue to serve as an advisor on the company’s board of directors.
Mr. Hayek most recently served as president of VillageHealth Inc., an insurance and care management company owned by DaVita Inc., the nation’s leading independent provider of kidney dialysis services.
“Now that we have fully made the transition to an independent company, we are ready to build on SCA’s reputation for clinical excellence in this industry,” said Leonard D. Schaeffer, senior healthcare investment advisor to TPG and SCA’s board chairman. “We believe Andrew is well suited to successfully lead SCA going forward. We welcome him to the SCA family.”
Prior to his role at VillageHealth, Mr. Hayek served as president and chief operating officer of Alliance Imaging, Inc., a $450 million revenue diagnostic imaging and radiation oncology business (NYSE: AIQ), operating in 43 states. He worked previously for Capstone Consulting (an operations consulting firm affiliated with private equity firm Kohlberg Kravis Roberts & Co.), The Pritzker Organization (a merchant banking firm affiliated with the Pritzker family of Chicago, owners of Hyatt Hotels), and the Boston Consulting Group. Mr. Hayek earned a Bachelor of Arts summa cum laude from Yale University.

Surgical Care Affiliates and UCSD Medical Center to Partner in Surgical Center
Birmingham, Ala., December 26, 2007 – Surgical Care Affiliates (SCA), one of the country’s largest providers of specialty surgical services, announced today that it has entered into a joint venture relationship with University of California San Diego (UCSD) Medical Center to partner in the operation of the existing UTC SurgiCenter located at 8929 University Center Lane. Under the new partnership, the center will operate under the new name, University Ambulatory Surgery Center.

"This is a perfect fit with our business objective of partnering with high-quality healthcare providers in order to meet the surgical needs of a local community."

Surgical Care Affiliates Announces New Home Office Location
Birmingham, Ala., -- Surgical Care Affiliates (SCA) has signed a lease with the Galleria Tower to house its home office operations and expects to move into the new space during the first quarter of 2008. SCA is the surgical services company created by HealthSouth’s sale of its surgery division to TPG in June 2007. While most of SCA’s 6,000 employees work in its network of more than 130 outpatient surgery centers and surgical hospitals across the country, SCA employs 150 people in its Birmingham-based home office. The current location on Highway 280 is temporary and will end when the new facility is complete early next year.
"We are very pleased with our decision to move to the Galleria Tower," said Mike Snow, SCA president and chief executive officer. "Once we complete the build-out, it will provide us with the space we need to accommodate SCA’s future growth as one of the nation’s largest providers of specialty surgical services."
SCA’s management team looked at several locations before making their final decision to lease the approximately 40,000 square feet office space at the Galleria Tower.
"Our employees and their commuting patterns were very important to us in making this decision," said Snow."In addition, we needed the ability to customize the space to our specific needs to allow room for growth. The Galleria Tower met these criteria, and we’re delighted with the opportunity to create our own identity."

Surgical Care Affiliates Names Board of Directors
Birmingham, Ala., -- Surgical Care Affiliates (SCA) has announced the composition of its board of directors. SCA was formed when TPG finalized its purchase of the surgery division from HealthSouth Corporation in June of this year.
The new board of directors includes: Leonard D. Schaeffer, Chairman, who was the founding Chairman and CEO of WellPoint; the nation’s largest health benefits company; Thomas C. Geiser, advisor and legal counsel to numerous healthcare organizations; Todd B. Sisitsky, Partner at TPG Capital, L.P. where he leads healthcare investments; Curtis S. Lane, founder of MTS Health Investors and manager of the healthcare investment banking group at Bear Stearns from 1986-1998; Dr. Sharad Mansukani, senior advisor at TPG, practicing ophthalmologist, and entrepreneur; and Mike Snow, SCA’s President and Chief Executive Officer.

SCA Board Members
Leonard D. Schaeffer was the founding Chairman and CEO of WellPoint, the nation’s largest health benefits company. Throughout his career in the healthcare industry, Schaeffer has been selected for many honors including BusinessWeek Magazine’s Top 25 Managers of the Year and Worth Magazine’s 50 Best CEOs in America. Thomas C. Geiser, a Senior Advisor to TPG, has served as an advisor and legal counsel to numerous healthcare organizations including his former role as General Counsel for WellPoint. Geiser’s main focus is on healthcare financing. In San Francisco, Geiser had a successful career with the law firms of Brobeck, Phleger & Harrison; Epstein, Becker, Stromberg & Green; and Hanson, Bridgett, Marcus, Vlahos & Stromberg. He has been elected to The Best Lawyers in America and was named 100 Most Influential Attorneys of California by California Law Business.
Todd B Sisitsky, a partner of TPG Capital, L.P., leads the firm’s investment activities in the healthcare services and pharmaceutical / medical device sectors. He played key roles in connection with TPG’s investments in IASIS Healthcare, Fenwal Transfusion Therapies, Biomet and Surgical Care Affiliates. Prior to joining TPG in 2003, Mr. Sisitsky worked at Forstmann Little & Company and Oak Hill Capital Partners.
/Curtis S. Lane founded MTS Health Investors in 2000. Lane founded and managed Bear Stearns Health Investment Banking Group from its inception in 1986 until 1998. Under Lane’s leadership, the healthcare investment banking group was named top ranked Institutional Investor healthcare research team in the country. Just before founding MTS, he joined Evercore Partners as a partner to focus on advisory and investment opportunities in healthcare.
Sharad Mansukani, MD, a leading healthcare business strategist, Mansukani is an authority on the health insurance, hospital, PBM and pharmaceutical industries. He has additional expertise in federal healthcare programs, particularly the Medicaid program and the Medicare prescription drug program. In addition to advising many medical organizations, Mansukani currently serves as a Senior Advisor of TPG. He is on the faculty at the University of Pennsylvania and Temple University Schools of Medicine.
Michael D. Snow was named SCA’s first President and Chief Executive Officer in July 2007. Mike has more than 25 years of experience in healthcare business operations. He served as Chief Operating Officer of HealthSouth from 2004 to 2007, as President of HCA’s Gulf Coast Division from 1996 to 2004 and as Chief Operating Officer of Columbia/HCA’s Greater Houston Division from 1995 to 1996. BIRMINGHAM, Ala. –- TPG finalized its previously announced transaction with HealthSouth Corporation (NYSE:HLS) to purchase its Surgery Division, creating Surgical Care Affiliates (SCA), one of the nation’s largest independent surgical care companies. The new company is among the nation’s largest providers of outpatient surgical services and is comprised of a network of 137 outpatient surgery centers and three surgical hospitals across the country.
