The physicians providing medical and surgical services to patients at Surgical Care Affiliates facilities are generally independent contractors and not employees or agents of Surgical Care Affiliates. The medical and surgical services provided to patients at Surgical Care Affiliates facilities are provided under the exclusive control, direction, and supervision of these independent physicians, which include radiologists, pathologists, anesthesiologist, and surgeons. Any statutory or contractual duty owed by Surgical Care Affiliates to provide medical and surgical services has been expressly delegated to these independent physicians, and by delegating these duties, Surgical Care Affiliates has discharged all liability for any acts or omissions of these independent physicians in providing medical and surgical services at Surgical Care Affiliates facilities.

Surgical Care Affiliates announces partnership with Lakeside Surgery Center
Glendale, Calif. (February 1, 2010) – Surgical Care Affiliates (SCA), one of the country’s largest providers of specialty surgical services, announced today it has entered into a joint venture arrangement with Lakeside Surgery Center in Glendale, Calif. to partner in the operation of the center.
Under the agreement, SCA and a group of physician partners will own the center, and SCA will provide management services.
Lakeside Surgery Center will continue to be a multi-specialty surgical center, focusing on gastroenterology, a comprehensive colonoscopy screening program, colon and rectal surgery, general surgery, orthopedic surgery, hand surgery, general ophthalmology and vitreoretinal care, podiatry, otolaryngology, urology and pain management.
“The medical staff of Lakeside Surgery Center is excited to announce the selection of SCA as our corporate partner,” said Dr. Dario Perez, medical director of the center. “We believe that the combination of SCA’s surgery center expertise, their local and national footprint, and our medical staff’s clinical expertise will help Lakeside Surgery Center be one of the best ASCs in the state.

WakeMed and Surgical Care Affiliates Enter into Venture for Ambulatory Surgery
Birmingham, Ala. (October 29, 2009) – WakeMed Health & Hospitals and Surgical Care Affiliates (SCA) have entered into a Letter of Understanding (LOU) under which the two organizations will explore partnership opportunities.
These opportunities may include WakeMed becoming a majority partner in the entity that operates Blue Ridge Surgery Center with SCA continuing to manage the operations. SCA may be engaged to manage the daily operations of WakeMed’s outpatient surgery locations. The two organizations also will evaluate the option of working together to grow existing outpatient surgery offerings and develop new projects. The organizations expect to execute definitive agreements by the end of February 2010.
“WakeMed excels at running large inpatient surgery programs, and Surgical Care Affiliates has extensive knowledge of outpatient surgery businesses. We are exploring this partnership to share our specialized expertise in different surgery environments,” commented Dr. Bill Atkinson, WakeMed president and CEO. “Increasingly, new technology and advanced procedures are enabling more surgeries to be completed in an outpatient setting. The outpatient surgery model is often more efficient and greatly enhances access and convenience for our patients. SCA through its partnership with 38 surgeons at the Blue Ridge Surgery Center performed 8,500 outpatient procedures in the last 12 months.

Surgical Hospital of Oklahoma to Partner with Surgical Care Affiliates
Oklahoma City, OK. (September 1, 2009) - Surgical Hospital of Oklahoma, located in Oklahoma City, today announced that it has partnered with Surgical Care Affiliates (SCA), one of the country’s largest providers of specialty surgical services. Surgical Hospital of Oklahoma is a state of the art hospital providing surgical services and inpatient acute care in a number of specialties including pain management, podiatry and orthopedics. Surgical Care Affiliates and Hawaii Pacific Health Partners, Inc. Complete Joint Venture
HONOLULU (August 18, 2009) –Surgical Care Affiliates (SCA), one of the country’s largest providers of specialty surgical services, announced today the completion of a joint venture transaction with Hawaii Pacific Health Partners, Inc. (HPHPI) to construct and operate a new outpatient surgery center in downtown Honolulu.
Under the terms of the agreement, SCA and HPHPI are joint owners of ASC Pacific Ventures, LLC, which now has a majority ownership interest in the existing Surgicare of Hawaii located at 550 South Beretania Street. The joint venture will relocate the surgery center to a new facility to be built in the Waterfront Plaza development on Ala Moana Boulevard.
The surgery center plans to offer an array of surgical services, including orthopedics, pain management, ophthalmology, general surgery, otolaryngology, urology, obstetrics/gynecology, plastics and podiatry. SCA will provide day to day management services to the center.
“This partnership allows us to meet the increasing community demand for ambulatory surgical capacity in a patient-friendly environment,” said Chuck Sted, Chief Executive Officer of Hawaii Pacific Health. “The new, expanded facility will not only enhance our ability to offer patients leading edge outpatient services in a convenient location, but it also will free up inpatient capacity in our other facilities to deliver more complex procedures and care.”

Twin Cities Orthopedics to partner with Surgical Care Affiliates
Minneapolis, Minn. (August 11, 2009) – Twin Cities Orthopedics (TCO), one of the largest orthopedic physician practices in the Midwest, today announced a partnership with Surgical Care Affiliates (SCA) to develop a new orthopedic surgery center in Edina, Minn.

SCA Names Andrew Hayek as New President and CEO
Mike Snow Resigns after Successful Transition
BIRMINGHAM, Alabama (April 21, 2008) – Surgical Care Affiliates (“SCA”) today announced that Andrew P. Hayek has been named president and chief executive officer effective May 1, 2008. SCA’s current president and chief executive officer, Mike Snow, is resigning his position effective April 30, 2008, but will continue to serve as an advisor on the company’s board of directors.
Mr. Hayek most recently served as president of VillageHealth Inc., an insurance and care management company owned by DaVita Inc., the nation’s leading independent provider of kidney dialysis services.
“Now that we have fully made the transition to an independent company, we are ready to build on SCA’s reputation for clinical excellence in this industry,” said Leonard D. Schaeffer, senior healthcare investment advisor to TPG and SCA’s board chairman. “We believe Andrew is well suited to successfully lead SCA going forward. We welcome him to the SCA family.”
Prior to his role at VillageHealth, Mr. Hayek served as president and chief operating officer of Alliance Imaging, Inc., a $450 million revenue diagnostic imaging and radiation oncology business (NYSE: AIQ), operating in 43 states. He worked previously for Capstone Consulting (an operations consulting firm affiliated with private equity firm Kohlberg Kravis Roberts & Co.), The Pritzker Organization (a merchant banking firm affiliated with the Pritzker family of Chicago, owners of Hyatt Hotels), and the Boston Consulting Group. Mr. Hayek earned a Bachelor of Arts summa cum laude from Yale University.

Under the new partnership, the center will operate under the new name, University Ambulatory Surgery Center.

Surgical Care Affiliates Announces New Home Office Location
Birmingham, Ala., -- Surgical Care Affiliates (SCA) has signed a lease with the Galleria Tower to house its home office operations and expects to move into the new space during the first quarter of 2008. SCA is the surgical services company created by HealthSouth’s sale of its surgery division to TPG in June 2007. While most of SCA’s 6,000 employees work in its network of more than 130 outpatient surgery centers and surgical hospitals across the country, SCA employs 150 people in its Birmingham-based home office. The current location on Highway 280 is temporary and will end when the new facility is complete early next year.
"We are very pleased with our decision to move to the Galleria Tower," said Mike Snow, SCA president and chief executive officer. "Once we complete the build-out, it will provide us with the space we need to accommodate SCA’s future growth as one of the nation’s largest providers of specialty surgical services."
SCA’s management team looked at several locations before making their final decision to lease the approximately 40,000 square feet office space at the Galleria Tower.
"Our employees and their commuting patterns were very important to us in making this decision," said Snow."In addition, we needed the ability to customize the space to our specific needs to allow room for growth. The Galleria Tower met these criteria, and we’re delighted with the opportunity to create our own identity."

Surgical Care Affiliates Names Board of Directors
Birmingham, Ala., -- Surgical Care Affiliates (SCA) has announced the composition of its board of directors. SCA was formed when TPG finalized its purchase of the surgery division from HealthSouth Corporation in June of this year.
The new board of directors includes: Leonard D. Schaeffer, Chairman, who was the founding Chairman and CEO of WellPoint; the nation’s largest health benefits company; Thomas C. Geiser, advisor and legal counsel to numerous healthcare organizations; Todd B. Sisitsky, Partner at TPG Capital, L.P. where he leads healthcare investments; Curtis S. Lane, founder of MTS Health Investors and manager of the healthcare investment banking group at Bear Stearns from 1986-1998; Dr. Sharad Mansukani, senior advisor at TPG, practicing ophthalmologist, and entrepreneur; and Mike Snow, SCA’s President and Chief Executive Officer.

Leonard D. Schaeffer was the founding Chairman and CEO of WellPoint, the nation’s largest health benefits company. In San Francisco, Geiser had a successful career with the law firms of Brobeck, Phleger & Harrison; Epstein, Becker, Stromberg & Green; and Hanson, Bridgett, Marcus, Vlahos & Stromberg. Todd B Sisitsky, a partner of TPG Capital, L.P., leads the firm’s investment activities in the healthcare services and pharmaceutical / medical device sectors. Just before founding MTS, he joined Evercore Partners as a partner to focus on advisory and investment opportunities in healthcare.
Sharad Mansukani, MD, a leading healthcare business strategist, Mansukani is an authority on the health insurance, hospital, PBM and pharmaceutical industries. He has additional expertise in federal healthcare programs, particularly the Medicaid program and the Medicare prescription drug program. Surgical Care Affiliates Created as TPG Finalizes Purchase of HealthSouth Surgery Division
BIRMINGHAM, Ala. –- TPG finalized its previously announced transaction with HealthSouth Corporation (NYSE:HLS) to purchase its Surgery Division, creating Surgical Care Affiliates (SCA), one of the nation’s largest independent surgical care companies. The new company is among the nation’s largest providers of outpatient surgical services and is comprised of a network of 137 outpatient surgery centers and three surgical hospitals across the country.
